1. Acceptance

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

5. Intellectual Property; Limited License

All right, title, and interest in and to the Services — including the Lyfe-Pay and Lyfe-Shield names, logos, shield mark, card designs, source code, content, copy, graphics, and underlying technology — are and remain the exclusive property of Lyfe-Pay, Inc. and its licensors. Nothing in these Terms grants you any right or license to use the Company's trademarks, trade dress, copyrighted works, or other intellectual property except as expressly set forth in our Trademark Policy.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes.

6. Third-Party Content

The Services may include content, links, or services from third parties. We are not responsible for, and do not endorse, any third-party content or service. Your dealings with third parties are solely between you and them.

7. Fees

Some Services may require payment of fees. All fees are described on our Pricing page or in a separate order form. You authorize us (or our payment processor) to charge your designated payment method.

8. Termination

We may suspend or terminate your account at any time for any reason, including suspected violation of these Terms. You may close your account at any time. Sections that by their nature should survive termination will survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LYFE-PAY, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES.

11. Governing Law

These Terms are governed by the laws of the jurisdiction where Lyfe-Pay, Inc. is organized, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the courts of that jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use after changes take effect constitutes acceptance.
